Terms of Service

1. Acceptance of These Terms

By accessing or using [Your Company Name] (“we”, “us”, “our”) and any of the automation services offered on [your‑domain.com] (the “Site”), you (“you”, “user”, “customer”) agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Site or any of our services.

2. Description of Services

We provide cloud‑based automation tools that allow customers to design, schedule and execute workflows, bots, and integrations (collectively, the “Services”). The Services are offered on a subscription or pay‑as‑you‑go basis as described on the Site.

3. Account Registration

Eligibility. You must be at least 18 years old and have the legal capacity to enter into a contract.

Information. You must provide accurate, current and complete information when creating an account and keep it up to date.

Security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Promptly notify us of any unauthorized use.

4. Fees, Billing & Payment

Subscription fees, usage‑based fees and any applicable taxes are displayed on the Site or in your order confirmation.

Payment must be made by a credit card, debit card, or other payment method we support. We use third‑party processors (e.g., Stripe, PayPal) and do not store full card numbers.

All fees are non‑refundable unless otherwise required by law. Late or missed payments may result in suspension or termination of your account.

5. Use of the Services

You agree to:

Use the Services only for lawful purposes and in compliance with all applicable laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Ontario privacy legislation.

Not (i) upload, transmit or store any illegal, defamatory, abusive, hateful, or otherwise prohibited content; (ii) reverse‑engineer, decompile, or otherwise attempt to derive the source code of the Services; (iii) interfere with the security or operation of the Site; or (iv) sell, lease, sublicense, or otherwise transfer your right to use the Services to any third party without our written consent.

6. Intellectual Property

All software, designs, documentation, logos, trademarks, and other materials provided by us (the “Proprietary Materials”) are owned by M.H Dealer Services or its licensors.

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to use the Proprietary Materials solely for accessing and using the Services.

You retain all rights to the data you upload or create through the Services, but you grant us a worldwide, royalty‑free license to store, process, transmit, and display that data solely for providing the Services.

7. User‑Generated Content

You are solely responsible for any content, data, scripts or workflows you create or upload (“User Content”). You represent and warrant that you have all rights needed to provide such User Content and that it does not infringe any third‑party rights.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use and protect personal information.

9. Disclaimer of Warranties

The Services are provided “as is”, “as available” and “with all faults”. To the maximum extent permitted by law, we expressly
DISCLAIM:

All warranties of merchantability, fitness for a particular purpose, non‑infringement, and any other warranties, whether express or implied.

Any guarantee that the Services will be uninterrupted, error‑free, or secure.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or use, arising out of or related to these Terms or the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you have actually paid us for the Services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify and hold harmless M.H Dealer Services, its affiliates, officers, directors, employees and agents from any claim, liability, loss, damages or expenses (including reasonable attorneys’ fees) arising out of:

Your breach of these Terms;

Your violation of any applicable law;

Any User Content you submit that infringes any third‑party right.

12. Termination

By You. You may cancel your subscription at any time via your account dashboard. Cancellation stops future billing but does not affect obligations accrued prior to termination.

By Us. We may suspend or terminate your account immediately, without notice, for any breach of these Terms or if we are required to do so by law.

Upon termination, all licenses granted herein cease and you must discontinue all use of the Services.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict‑of‑law principles.

Any dispute arising out of or relating to these Terms shall be resolved exclusively in the courts of the Province of Ontario, unless the parties agree otherwise in writing.

14. Changes to These Terms

We may amend these Terms at any time. We will post the revised Terms on the Site with a new “Effective date”. Your continued use of the Services after such posting constitutes your acceptance of the updated Terms.

15. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and us concerning the Services.

Severability. If any provision is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision will not constitute a waiver of such right.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign them to an affiliate or successor in interest.
